Meeting called to order at 11:40am at 301 Centennial Blvd Richardson, TX 75081.

Old Business:
Old minutes reviewed, accepted.

Park Status:
IC Is in violation of their EH contract, and the BOD has initiated the process of removing their EH contract.
Still pending – cannot contact anyone from Ironcloud.

CA will be officially notified that they need to abide by certain requirements or they will be in danger of losing their EH contract.
Official notice still pending because officers for the park are unknown or nonexistent.

Shire of the West has not been sent a contract. Need contact information.

Legal analysis of corpora and BOD bylaws by Caroline Akers:
Articles of incorporation accepted in lieu of certificate of formation.
BOD bylaws should be edited to be consistent with Corpora – 2.2.
BOD bylaws 5.2.3 is vague.
Corpora uses “Crown” and “Monarch” interchangeably.

Corpora V(D) – althing is not defined as a regular meeting. Notice of regular meetings is required unless bylaws provide that notice is not required. List of eligible voting members is required. John Elder asked if the list can be changed after preparation.
John Elder is concerned that it’s prohibitively difficult to give notice to all members, and suggests that we do not give notice of regular meetings.
Aaron Simpson suggested not requiring notice, but requiring publication of the regular meeting times. Andréa Jacobs suggested stating that “no individual notice is required,” and that would be legally sufficient.
John Elder inquired what is required by Tex. Bus. Org. Code §22.158(a)(2) – “the address of each voting member,” specifically if an email address would suffice. Caroline Akers did not know the answer.
One purpose for the address might be to ensure that each voting member is a distinct human.
BOD accepts the review of the Corpora and Bylaws of the Kingdom of the Emerald Hills prepared by Caroline Akers.
Review is available.

New Business:
RGK requests a letter from the BOD stating that we are non-profit. Cracker Barrel and Don Pablos are consolidating warehouses and getting rid of Dallas branch and selling or donating products. The BOD will produce such a letter, but the Emerald Hills is not a charitable organization.

Authorizing Bank Signators:
The BOD states that as of April 10, 2006, Samantha Caudill and John Elder
are authorized to access the bank account of Amtgard, Kingdom of the
Emerald Hills, Inc. The BOD will produce a letter to that effect.

Regarding Steven Akins:
The BOD and Brenden Meiners reviewed a letter sent from Steven Akins on March 2, 2006. Aaron Simpson wishes to distinguish between Steven Akins’ belief that he is in danger and an actual present danger to Steven Akins. Kevin Kidwell and John Elder note that the matter was investigated and reviewed by the appropriate authority at the time, and that they determined that nothing needed to be done, but were unable to contact Steven Akins at the time. The BOD discussed this at length with Brenden Meiners, and Brenden Meiners agrees that Steven Akins is not in any danger from Brenden Meiners. The BOD will send a registered letter to Steven Akins to this effect.

Regarding Brenden Meiners:
Brenden Meiners submitted a complaint to the BOD.
Motion to resolve this issue at or by April 22, 2006 passed.

Next Meeting:
Saturday April 22, 2006 at 11:00am at 301 Centennial Blvd. Richardson TX 75081.
